Special Meeting of Members – SMLCA Bylaw Review
The By-Law Steering Committee (‘Committee’) has been busy since its inception in September 2016 partnering with our Members and our Lawyer to co-create a new version of the By-Laws (By-Law No. 4) that govern the SMLCA. The Committee is chaired by VP Denise Edwards and includes SMLCA President Frank Boddy, and Directors Vince Hosick & Harold Toiviainen.
To recap:
- Late fall and early winter of 2016/2017: The Committee debated at length to clarify the intent and meaning of each sentence ultimately arriving at recommended revisions, all written in plain and clear language.
- Spring of 2017: The Committee held a Focus Group with the Board of Directors to solicit feedback on the revisions.
- Summer of 2017: The Committee held a Public Focus Group soliciting feedback from Members. Members who weren’t able to participate were encouraged to submit feedback directly to the Steering Committee. Thanks to a large turnout of interested Members who stayed well beyond the finish time, the Committee received a lot of insightful and honest input to incorporate into the By-Laws.
- Late summer of 2017: The Committee incorporated the feedback received and put forward the revised By-Laws to our Lawyer for legal review.
- Fall of 2017: The revised By-Laws were put forward to the Board for review. The final draft was sent back to the Lawyer along with a Committee request to put together a package of materials to help our Members understand the changes.
- Fall/winter of 2017/2018: The Committee finalized the By-Laws, incorporated new legislative changes from ONCA (Ontario Not-for-Profit Corporations Act) and OCA (Ontario Corporations Act).
- Winter/spring of 2018, the Committee created the package of materials for Members and acquired Board approval of the final By-Laws.
The final draft of the By-Laws can be found through the links below and we are holding a special meeting for Members on May 26, 2018 to obtain Member approval. Until then, we continue to operate under our current By-Laws (By-Law #2).
The meeting will be held at the Baxter Ward Community Centre at 10am. If you’re unable to attend, you can download a proxy form on our website and have a proxy attend in your place.
